TERMS AND CONDITIONS OF SERVICE

These terms and conditions apply to the services provided by Digiverkosto (hereinafter ”the Provider”). The contracting party and invoicing entity is either Mediaplussa (Business ID: 3492693-6) or Aleksi Luhtasela (Business ID: 3505429-5), depending on the specific case.
1. Formation of Agreement
An agreement is formed when the Customer accepts the Provider’s offer in writing, electronically, or by making the first payment associated with the order.
2. Scope and Execution of Services
The Provider executes the services (e.g., websites, digital marketing, CRM integrations) professionally based on the agreed scope. The Customer agrees to provide all necessary materials and access rights required for the work without delay.
3. Payment Terms and Invoicing
The invoicing model is agreed upon on a case-by-case basis. Available models include:
Project Invoicing: For example, 50% at the start of the project and 50% upon completion/delivery.
Monthly or Annual Billing: Ongoing services are billed according to the contract period.
Installments: Larger projects can be divided into several installments. The standard payment term is 14 days unless otherwise agreed. Interest on late payments is charged in accordance with the Finnish Interest Act.
4. Advertising Budgets and Third Parties
In digital marketing, the Customer is responsible for the actual advertising budget (e.g., Meta and Google ad spend), which is paid directly to the respective platform. The Provider is not responsible for price changes or service outages on third-party platforms.
5. Contract Duration and Termination
Ongoing services are subject to a one (1) month notice period unless otherwise agreed (e.g., fixed-term contracts). Notice of termination must be provided in writing.
6. Intellectual Property Rights
Ownership of the final result of the commissioned work is transferred to the Customer once all payments related to said work have been settled in full. The Provider retains the right to use the completed work as a reference.
7. Limitation of Liability
The Provider strives for the best possible results but is not liable for indirect damages resulting from the use of the service. In all situations, the Provider’s liability for compensation is limited to the value (excluding VAT) of the specific project or service installment in question. This ensures reasonable pricing and business continuity for all our customers.
8. Processing of Personal Data (DPA)
If the Provider processes personal data on behalf of the Customer (e.g., email lists or CRM data), the obligations of the General Data Protection Regulation (GDPR) are followed. The Provider is committed to data confidentiality and appropriate protection.
